"**Control**" means direct or indirect ownership of at least fifty percent (50%) of the voting power, capital or other securities of controlled or commonly controlled entity. 1.5 **"Implementation"**: refers to the act of applying the UB Specification in a Compliant Product, including but not limited to downloading, accessing, using, copying, distributing, displaying, or any other use of the UB Specification. ## 2\. Copyright License Subject to your compliance with this Agreement, Huawei grants You a worldwide, non-exclusive, non-sublicensable, non-transferable royalty-free copyright license for the UB Specification. This copyright license permits You to implement the UB Specification solely for the purpose of developing Compliant Product (hereinafter referred to as the "**Purpose**"). ## 3\. Covenant Not to Sue Subject to your compliance with this Agreement, Huawei covenants not to use any Necessary Claims to initiate any patent infringement litigation or other legal proceedings against You for activities related to the manufacture, use, import, offer for sale, sale, lease, promotion, or other distribution of Compliant Product in relation to the UB Specification. ## 4\. Conditions and Limitations 4.1 You shall not implement the UB Specification in any form for purposes other than the Purpose stated in this Agreement. 4.2 You shall not amend, alter, modify the UB Specification, or create derivative works thereof in any manner, for example, you shall not excerpt or cite any part of the UB Specification for the purpose of developing other standards. 4.3 You shall not use the UB Specification or any part of it to support patent infringement litigation, other legal proceedings against Huawei and/or its affiliates, or any legal analysis concerning Huawei products. 4.4 Unless otherwise agreed in writing, no additional rights are granted under this Agreement beyond those expressly stated, including but not limited to authorization to use Huawei's trademarks or service marks. Any other rights not expressly granted herein are reserved by Huawei. ## 5.No Warranty 5.1 THE UB SPECIFICATION IS PROVIDED ON AN "AS IS" BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUAWEI EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND RELATED TO THE UB SPECIFICATION, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, PERFORMANCE, AND COMPLETENESS. 5.2 HUAWEI DOES NOT WARRANT THAT THE UB SPECIFICATION WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM DEFECTS. Termination and Effect 6.1 This Agreement shall become effective on the date You accept it in accordance with the method specified at the beginning of this Agreement, and will remain in effect until terminated pursuant to Section 6.2. 6.2 This Agreement will automatically terminate under the following circumstances: (a) if You materially breach this Agreement; or (b) if You initiate patent infringement litigation or other legal actions against Huawei and/or its Affiliates concerning Compliant Product. In either case of (a) or (b), Huawei reserves the right to pursue all legal remedies available, including litigation, to protect its rights from such breaches. 6.3 Upon termination of this Agreement, all rights granted to You hereunder and the covenant not to sue for patents described in Article 3 shall immediately terminate and be void ab initio. You must cease implementation of the UB Specification and any part thereof in any form and permanently delete the UB Specification and all copies from all storage devices or media under your control. 6.4 Articles 1, 4, 5, 6, 7, and 8 shall survive the termination of this Agreement. ## 7\. Language This Agreement is made in both Chinese and English versions. In the event of any conflict or discrepancy between the two versions, the Chinese version shall prevail. ## 8\. Governing Law & Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China. 1\. 我们如何收集和处理您的个人信息 **如果您仅仅浏览灵衢社区网站（以下简称“本网站”）的一般性内容，我们通常并不要求您提供个人信息，但在以下情形，我们会相应收集您的个人信息，您也可以通过访问《个人信息收集清单》快速了解我们收集、使用个人信息的基本情况**： **a)账号服务**。 1. 当您注册灵衢社区账号的时候，我们将收集您的**姓名**、**企业/组织**、**企业/组织邮箱**、**密码**、**企业/组织邮箱验证码**，并自动生成唯一的账户标识符，如您拒绝提供上述信息，您将无法完成账户注册； 2. 当您使用**企业/组织邮箱**登录灵衢社区时，我们将收集您提供的**企业/组织邮箱**、**密码**用于身份校验，如您拒绝提供上述信息，您将无法完成登录； 3. 当您登录灵衢社区后，可以在个人中心设置您的头像、**姓名**，完善您的个人信息，如您拒绝提供上述信息，不影响您的功能使用。 **b)下载灵衢规范**。当您下载灵衢基础规范完整版及灵衢固件规范时，为确保适用的灵衢规范许可协议有效签署，我们将记录您的**姓名**、**企业/组织**、**企业/组织邮箱**，同时我们会使用您的企业/组织邮箱在前述规范中生成对应的水印。 **c)邮件列表服务**。当您使用我们的邮件列表订阅服务时，我们将收集您的**姓名（可选）**、**企业/组织（可选）**、**邮箱**用于为您提供邮件订阅服务，便于您参与社区中的讨论。 **d) 服务优化**。为了保证服务质量以及社区运营，我们会自动收集并存储您的姓名、企业/组织、企业组织邮箱和必要的日志信息，包括访问时间戳、**IP地址**、请求详情、访问状态、访问资源大小、访问来源、请求用户代理信息，同时，我们会采集您的设备信息（设备名称、设备类型、设备供应商、操作系统、操作系统版本、屏幕宽度、屏幕高度）、应用信息（应用ID、使用的SDK版本号、浏览器、浏览器版本、浏览器视口宽度、浏览器视口高度）、应用使用信息（事件名称、事件属性、上报时间、客户端匿名ID），用于社区运维安全及运营统计分析，以便了解社区状况并提供更好的服务。 **e) 内容发布**。当您参加社区会议、社区活动、开发者开源社区贡献，我们可能会在线下收集您的**照片**、**姓名**, 并在社区网站发布，以便开发者更好地了解和认识社区，从而更快地建立链接并参与到我们社区。 **f) 问卷调查**。当您参与社区问卷调查活动时，我们可能会收集您的**姓名**、**企业/组织**、**角色**、**企业/组织邮箱**，以便与您进一步沟通交流并提供更合适的社区服务。 **g）灵衢厂商标识申请**。当您提交灵衢厂商标识申请时，我们将收集您的企业信息（名称、邮箱地址、联系地址、官网地址）、企业联系人信息（**姓名**、**邮箱地址**、**联系电话**）、企业业务类别、签名、申请日期、企业公章，用于申请审核及后续与您联系。 **h) 会议服务**。当您使用灵衢社区提供的会议服务时，我们会收集您的**姓名**、**邮箱**，用于配置相关权限。如果您有预定会议权限，在预定会议时，我们会收集您编辑的**邮箱**，用于发送会议邀请邮件。在预定会议时，如果您选择了会议自动录屏，在会议结束后，我们会将会议录像上传至我们的服务器，以便于更多感兴趣的个人或组织回顾您组织的会议。 **i) 贡献者许可协议签署**。当您通过贡献者许可协议（简称“CLA”）签署系统（点击此处了解）参与问题反馈时，您需要向 CLA 签署系统提交您的相关个人信息，我们会取得这些个人信息用于校验您是否已经签署 CLA，并进行相关统计分析，用于了解社区的运营状况。 ## 4\. 我们将保留多久您的个人信息 我们将会在达成本声明所述目的所需的期限内保留您的个人信息，除非按照法律要求或您的要求需要延长保留期。 一般而言，我们会自您使用我们的社区服务时获取您的个人信息之日起，根据可适用法律的要求或服务协议的约定，在留存期限内存储或保留您的个人信息。在您的个人信息超出保留期限后，且没有法律要求我们继续处理您的特定个人信息的情况下，我们将会根据可适用法律的要求删除您的个人信息，或进行匿名化处理。 当您主动申请删除您的个人信息时，相关数据留存期为1个月，我们会在1个月内响应您的要求并删除您相关个人数据。 为了服务优化，基于统计访问数量目的收集的访问时间戳、**IP地址**、请求详情、访问状态、访问资源大小、访问来源、请求用户代理信息会保存10天后自动删除。 ### 4.1 注销服务 您可以在灵衢社区账号登录后 进入“账号设置” > “账号安全” > “账号删除”注销您的灵衢社区账号，您在灵衢社区的个人信息也将一并删除，请您谨慎操作。 ## 5\. 我们将如何保护您的个人信息 我们重视您的个人信息安全。我们采用适当的物理、管理和技术保障措施来保护您的个人信息。例如，我们会使用加密技术确保信息的机密性；我们会使用保护机制防止信息遭到恶意攻击；我们会部署访问控制机制，确保只有授权人员才可访问个人信息；以及我们会举办安全和隐私保护培训等。**总之，我们会尽力保护您的个人信息。尽管如此，任何措施都无法做到无懈可击，也没有任何产品与服务、网站、信息传输、计算机系统、网络连接是绝对安全的**。 ## 二、版权许可 在您遵守本协议的前提下，华为仅就灵衢规范，授予您一项全球范围内的、非排他的、非独占的、不可分许可的、不可转让的、免费的版权许可，该版权许可仅允许您为开发符合产品的目的（以下简称“**协议目的**”）实施灵衢规范。 ## 三、专利不诉承诺 在您遵守本协议的前提下，华为仅就灵衢规范，承诺不会使用任何必要权利要求，对您制造、使用、进口、许诺销售、销售、租赁、推广或以其他方式分发符合产品的相关活动，对您提起任何专利侵权诉讼或其他法律程序。 ## 四、条件和限制 4.1 您同意，不得出于非协议目的以任何形式实施灵衢规范。 4.2 您同意，不得以任何方式修订、更改、修改灵衢规范或制作衍生作品，例如，不得摘录或引用灵衢规范的任何内容用于开发其他标准。 4.3 您同意，不得将灵衢规范或其任何部分用于支持针对华为及/或其关联公司的专利侵权诉讼、其他法律程序或有关华为产品的任何法律分析。 4.4 除非另有书面约定，本协议中没有授予除明示规定外的任何其他权利，包括但不限于未授予您使用华为商标或服务标志的授权。本协议未明示授予的任何其他权利均由华为保留。 ## 五、无担保 5.1 灵衢规范按“原样”提供，不附带任何形式的陈述或担保，无论是明示的、默示的、法定的还是其他。在适用法律允许的最大范围内，华为明确不提供与灵衢规范有关的所有种类的担保和条件，包括但不限于任何适销性、特定用途适宜性、不侵权、准确性、可靠性、安全性、性能及完整性的默示担保。 5.2 华为并不保证灵衢规范能够满足您的需求，也不保证其操作不间断、无错误、安全或无缺陷。您对灵衢规范的适用性、功能和性能的任何依赖完全由您自己承担风险。 5.3 在适用法律允许的最大范围内，华为及其关联公司或其各自的董事、职员、员工、代理人或代表在任何情况下均不对因本协议，或使用或无法使用灵衢规范而引起的任何直接、间接、特殊、附带、惩罚性、间接、后果性或示范性损害负责，包括但不限于利润损失、收入损失、数据损失、商誉损失、业务中断或其他无形损失，即使已告知可能发生此类损害。 ## 六、终止及效力 6.1 本协议自您根据文首的生效方式接受本协议之日起生效，直至根据6.2条的约定终止。 6.2 本协议将在以下情况下自动终止：(a) 您实质性违反本协议；或(b)您针对华为及/或其关联公司就符合产品提起专利侵权诉讼或其他法律行动。在前述(a) 或(b)情况下，华为有权就您的违约行为采取包括诉讼在内的所有法律救济措施，以保护华为的权利免受此类违约行为的影响。 6.3 本协议终止后，本协议下授予您的所有权利及本协议第三条约定的专利不诉承诺将立即终止且自始无效，您必须停止以任何形式实施灵衢规范及其任何部分，并从所有由您控制的存储设备或介质中永久删除灵衢规范及其所有副本。 6.4 本协议终止后，第一、四、五、六、七和第八条应继续有效。 ##
